This website is operated by Succulent Wholesale. Throughout the site, the terms “we”, “us” and “our” refer to Succulent Wholesale. Succulent Wholesale offers this website, including all information, tools and Services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.


By visiting our site and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.


Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any Services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.

Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and Services to you.


Section 1: ONLINE STORE TERMS

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.

You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

You must not transmit any worms or viruses or any code of a destructive nature.

A breach or violation of any of the Terms will result in an immediate termination of your Services.

We reserve the right to refuse Service to anyone for any reason at any time.

Credit card information is always encrypted during transfer over networks.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.


SECTION 3 - ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION

We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this site is at your own risk.

We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. You agree that it is your responsibility to monitor changes to our site.

Section 4: Minimum Order Requirement:

  • All wholesale orders must meet a minimum purchase requirement of $150.00, excluding shipping costs and after the application of any discounts or credits.

    • This minimum applies to all products, including plants, accessories, and merchandise, offered by Lazy Gardens DBA Succulent Wholesale.

    • Orders that do not meet the minimum requirement will not be processed.

Section 5: Pricing and Inventory:

  • Pricing Changes: All prices are subject to change without prior notice. Inventory levels may fluctuate based on availability, seasonality, and demand.

    • MSRP Guidelines: We may provide a Manufacturer’s Suggested Retail Price (MSRP) to guide reselling practices. Wholesale customers are encouraged to adhere to these guidelines to maintain brand integrity and market consistency.

    • Unauthorized Resale: The resale of our products on unauthorized third-party marketplaces, including but not limited to Amazon, eBay, Faire, Etsy, and Walmart, is strictly prohibited without prior written consent. Any violation of this policy may result in account termination.

    • Inventory Substitutions: In cases where specific products are unavailable due to inventory fluctuations, Lazy Gardens DBA Succulent Wholesale reserves the right to substitute plants of equal or greater value to fulfill an order. Customers will be notified in advance of any substitutions.

    • Backorders: If an item is not in stock, it may be placed on backorder. Customers will be notified of any delays, and backordered items will be shipped when available.

Section 6: Payment Terms:

  • Payment Upon Order: All payments are due at the time of order placement unless written credit terms have been established in advance. Orders will not be processed until full payment is received or terms have been agreed upon.

    • Accepted Payment Methods: We accept all major credit cards, checks, and bank transfers. Orders paid by check or bank transfer will only be processed once funds have cleared.

    • Upfront Payment: All orders require full payment upfront unless Lazy Gardens has extended written credit terms to the customer.

  • Credit Terms (If Applicable):

    • Credit terms may be granted at our discretion for select wholesale customers. To apply for credit terms, the customer must provide relevant business information and references, subject to approval by Lazy Gardens DBA Succulent Wholesale.

    • Failure to adhere to agreed-upon credit terms, including late payments, may result in the revocation of credit privileges, and future orders will require upfront payment.

    • Late payments will incur a 5% late fee of the total invoice for every 30-day period past the due date.

  • Order Processing and Cancellations:

    • Orders will only be processed once payment has been received or credit terms have been confirmed. In the event of failed payment or invalid payment methods, Lazy Gardens reserves the right to cancel the order and deny future services until valid payment information is provided.

    • If an order is canceled after 24 hours but before it is processed, a 25% cancellation fee will apply. Cancellations are not possible once an order has been processed or shipped.

    • No refunds are available for canceled orders once processed.

  • Credit Card Chargebacks:

    • Lazy Gardens DBA Succulent Wholesale reserves the right to dispute any credit card chargebacks that are deemed unjustified. Customers are required to contact us directly to resolve any payment or order issues before initiating a chargeback.

    • Customers will be responsible for any fees associated with the chargeback process, and the wholesale account may be suspended or canceled pending resolution of the dispute.

    • Repeated or fraudulent chargebacks will result in permanent account closure and may lead to legal action to recover funds.

  • Refunds and Disputes:

    • All payments are final, and refunds are not available unless explicitly agreed upon in advance due to specific circumstances.

    • Any disputes regarding payments must be communicated within 7 days of payment. After this period, all payments are considered final, and Lazy Gardens DBA Succulent Wholesale is under no obligation to revisit the transaction.

  • Taxes and Additional Fees:

    • Any applicable taxes, fees, or surcharges will be added to the total invoice. Customers are responsible for providing accurate tax exemption documentation (if applicable) before the order is placed.

    • Non-Sufficient Funds (NSF): If a check is returned due to non-sufficient funds, the customer will be charged a $50 NSF fee, and the order will be placed on hold until the issue is resolved.

Section 7: Shipping, Handling, Packaging, and Damages:

  • Shipping costs are the responsibility of the customer. Costs are calculated based on the weight and destination, and we will select the best and fastest available shipping option. Shipping methods may vary between mail orders and local delivery.

    • All products are carefully packaged to ensure safe delivery. No additional charges apply for standard packaging.

    • Local delivery: $50 for up to 50 miles, $100 for up to 100 miles from our location at 31210 Rivoli Road, Valley Center, CA 92082. Delivery distance is measured one way, not as the crow flies, and is subject to scheduling availability.

    • Non-delivery due to incorrect address or failure to receive the delivery will be subject to an additional delivery fee for reattempting the delivery.

    • Incorrect Address Policy: Customers are responsible for ensuring that the shipping address provided is accurate. Incorrect addresses provided by the customer will result in additional shipping fees for rerouting or reshipping the order.

    • Seasonal Shipping: During winter months or other extreme weather periods, shipping may be delayed to protect the plants. Heat packs are available for winter orders and are the responsibility of the customer to add. We are not responsible for damage caused by weather conditions if heat packs are not purchased.

    • Signature Requirement: For high-value orders, we may require a signature upon delivery to ensure secure receipt of your shipment.

    • Partial Shipments: In some cases, orders may be split into multiple shipments depending on product availability. You will be notified if your order will ship in parts, and shipping costs will be calculated accordingly.

    • Responsibility for Delivered Packages: Once the package is marked as delivered by the courier, Lazy Gardens DBA Succulent Wholesale is not responsible for the safety of the package. Please ensure the package is delivered to a secure location.

    • Transit Insurance: Transit insurance is available upon request. If you choose to decline transit insurance, Lazy Gardens DBA Succulent Wholesale is not liable for any damage or loss incurred during transit.

    • Delivery and shipping fees are non-refundable under any circumstances.

    • Orders typically ship within 1-5 business days. However, we may hold orders if we are aware of transit delays or disruptions within our courier network to ensure the safe arrival of plants.

    • It is the customer’s responsibility to avoid placing orders during extreme weather events. Customers should communicate with us if there are concerns regarding the safe arrival of their order during such times.

    • In the case of return to sender, we will reship the same plants at the customer's expense for reshipping, as well as any loss of plants incurred.

    • Product Damages: Any product damage must be reported within 72 hours of the package being marked as delivered, regardless of weekends, holidays, or business days. Store credit on the next order or a replacement will be offered based on the extent of the damage. All claims will be handled on a case-by-case basis with consideration for customer needs. Refunds are not available.

Section 8: Damages and Returns:

  • Reporting Period: Any product damage or issues with plant health must be reported within 15 days of the package being marked as delivered. Failure to report within this timeframe will result in the denial of a claim.

    • Claims must include photographic evidence of the damaged or affected products.

    • Claims submitted after the 15-day window will not be accepted, and all products are considered final sale beyond this period.

  • Minor Cosmetic Damage:

    • Minor cosmetic damage such as leaf loss, slight discoloration, or small blemishes is considered normal and expected with live plant shipments. These variations do not impact the overall health of the plant and are not grounds for a claim.

    • Plants may exhibit natural variations in color, size, and shape due to growth cycles, environmental factors, or shipping conditions. We make every effort to ensure consistency, but no two plants are identical.

  • Store Credit or Replacement:

    • Serious damage will result in store credit or a replacement at our discretion. Refunds are not available.

    • We reserve the right to request additional information or evidence before issuing a replacement or credit.

  • Exclusions from the Warranty:

    • This warranty does not cover damage caused by improper care, extreme environmental conditions, or pest infestations after delivery. Plants sold are expected to be cared for in a manner consistent with the species' requirements.

Section 9: Order Processing:

  • Orders are processed within 1-5 business days. We do not process orders on federal holidays. During peak seasons or periods of high demand, processing times may be extended, and customers will be notified of any potential delays.

    • Weather Conditions: Orders may be delayed due to weather conditions that could affect plant health, especially during extreme temperatures. We will inform customers if such delays are necessary to protect their plants.

    • Heat Packs: Winter shipments may require heat packs, which are the customer’s responsibility to add to their order. If plants freeze during transit due to lack of heat packs, we are not responsible

Section 10: Order Cancellation and Alterations:

  • Order Cancellations: Orders can be canceled within 24 hours of being placed. After 24 hours, orders cannot be canceled or returned. Canceled orders will be subject to a 25% cancellation fee based on the total order value.

    • If the order has already been shipped or processed, cancellation is no longer possible.

    • Lazy Gardens DBA Succulent Wholesale reserves the right to cancel or refuse any order at our discretion, especially if payment is not received, the order is flagged for potential fraud, or inventory is unavailable.

  • Order Alterations:

    • Order alterations must be requested within 24 hours of placing the order and are subject to approval.

    • Alterations cannot reduce the order size below the minimum order requirement of $150.

Section 11: Wholesale Account Requirements:

  • To qualify for a wholesale account, customers must be a new or existing business primarily engaged in the resale of plants, such as nurseries, garden centers, plant stores (physical or online), or businesses with a dedicated garden section. Wholesale accounts are intended for businesses that sell plants to end customers, not for those primarily focused on growing plants for resale.

    • Applicants must be based in the United States and provide valid business and tax permits.

    • To apply for a wholesale account, potential customers must complete the registration form available at https://succulentwholesale.com/account/register#. Accounts are subject to approval by Lazy Gardens DBA Succulent Wholesale.

    • We reserve the right to request additional information to grant approval and to deny or cancel an account for any reason.

Section 12: Wholesale Account Termination:

  • Lazy Gardens DBA Succulent Wholesale reserves the right to suspend or terminate a wholesale account at any time for reasons including but not limited to:

    • Failure to comply with our terms and conditions.

    • Non-payment or repeated late payments.

    • Unauthorized resale through prohibited third-party marketplaces.

    • Unauthorized propagation of plant stock.

    • Misuse of intellectual property, including unapproved use of branding or marketing materials.

    • Filing of unjustified chargebacks or payment disputes.

    • Any activity deemed detrimental to the reputation or interests of Lazy Gardens DBA Succulent Wholesale.

  • Notification of Termination:

    • Customers will be notified via email of any account suspension or termination, along with the reasons for such actions. Upon termination, any pending or in-progress orders may be canceled at our discretion, and any outstanding payments will remain due.

  • Reinstatement of Account:

    • Reinstatement of a suspended or terminated account is at the sole discretion of Lazy Gardens DBA Succulent Wholesale and may require additional information, updated payment methods, or a written agreement to comply with our terms.

 


 

Section 13: Intellectual Property:

  • All intellectual property, including but not limited to trademarks, logos, product names, product descriptions, marketing materials, plant care information, and any other content provided by Lazy Gardens DBA Succulent Wholesale, remains the sole property of Lazy Gardens.

    • Wholesale customers are not permitted to use, modify, reproduce, or distribute any of our intellectual property without prior written consent. This includes but is not limited to the use of any product images, descriptions, care instructions, or brand assets for commercial purposes or promotion.

    • Any unauthorized use of Lazy Gardens DBA Succulent Wholesale’s intellectual property may result in immediate termination of the wholesale agreement and could lead to legal action.

    • We grant permission for the use of our intellectual property solely for the purpose of reselling our products under agreed-upon terms. Wholesale customers may use product images and descriptions as provided for marketing purposes, but they may not alter or misrepresent the products in any way.

    • No part of our intellectual property may be used in connection with any third-party marketplaces (such as Amazon, eBay, Faire, Etsy, or Walmart) unless explicit written permission has been granted.

    • Unapproved Propagation: Unauthorized propagation of our plant stock is strictly prohibited. Any customer found to be propagating plants from our stock without written authorization from Lazy Gardens may have their wholesale account canceled. Lazy Gardens DBA Succulent Wholesale reserves the right to revoke usage rights of any intellectual property at any time and for any reason.

 


 

Section 14: Liability, Risk of Loss, and Ornamental Use:

  • Liability Limitation: Once the plants have been delivered to the customer, Lazy Gardens DBA Succulent Wholesale is not liable for any damages, losses, or issues that arise due to improper care, environmental conditions, pest infestations, or any other factors beyond our control. Customers are responsible for the care and management of the plants after receipt, including but not limited to adequate watering, sunlight, temperature control, and pest management.

  • Risk of Loss: The risk of loss or damage to the plants passes to the customer upon delivery. We cannot guarantee the health of plants after delivery as proper care is the customer’s responsibility. This includes ensuring the plants are kept in appropriate conditions and are protected from pests, diseases, and adverse environmental factors.

  • Ornamental Use Only: All plants sold by Lazy Gardens DBA Succulent Wholesale are intended for ornamental purposes only. These plants are not intended for human or animal consumption, medicinal use, or any other purpose beyond decorative and aesthetic use. Lazy Gardens is not responsible for any misuse of the plants outside of their intended ornamental use.

  • Pest Management: Wholesale customers are responsible for implementing their own integrated pest management (IPM) systems to protect their inventory. Lazy Gardens DBA Succulent Wholesale is not liable for any infestations, diseases, or pests that occur after the plants have been delivered. We recommend that customers thoroughly inspect and quarantine new plant stock upon arrival to prevent any spread of pests or diseases within their facilities.

  • No Warranty for Environmental Conditions: We do not provide any guarantees or warranties for plants that are exposed to extreme weather conditions, improper watering, excessive heat or cold, or other environmental factors that may affect their health. It is the customer’s responsibility to ensure plants are cared for in a manner consistent with the species' needs.

  • Force Majeure: Lazy Gardens DBA Succulent Wholesale is not liable for any failure to fulfill its obligations under these terms and conditions due to circumstances beyond its reasonable control, including but not limited to natural disasters, strikes, supply chain disruptions, or other acts of God.

  • Disclaimer of Consequential Damages: In no event shall Lazy Gardens DBA Succulent Wholesale be liable for any indirect, special, incidental, or consequential damages arising out of or related to the sale of plants or merchandise, including but not limited to loss of profits or damage to other inventory.

 


 

Section 15: Taxes and Resale Permits:

  • Sales Tax Responsibility: Wholesale customers are responsible for the payment of any applicable sales tax on their orders. Lazy Gardens DBA Succulent Wholesale does not collect sales tax for customers who provide a valid resale certificate or business permit, depending on the tax laws in the customer’s state.

    • Resale Certificates: In states where sales tax is applicable, wholesale customers must provide a valid resale certificate in order to qualify for tax-exempt purchases. Failure to provide a valid resale certificate at the time of order may result in the collection of sales tax as required by law.

    • Business Permits: For customers located in states where sales tax is not collected, a valid business permit must be provided to verify the customer’s eligibility for wholesale purchasing.

  • Tax Reporting: It is the responsibility of the wholesale customer to comply with all local, state, and federal tax laws regarding the resale of products purchased from Lazy Gardens DBA Succulent Wholesale. Customers are solely responsible for collecting, reporting, and remitting any taxes associated with their resale of our products in accordance with the applicable tax regulations in their jurisdiction.

  • Tax Exemption Revocation: Lazy Gardens DBA Succulent Wholesale reserves the right to revoke tax-exempt status if the customer fails to provide valid or updated resale certificates or business permits as required by law.

SECTION 16 - OPTIONAL TOOLS

We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.

You acknowledge and agree that we provide access to such tools ”as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

Any use by you of the optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).

We may also, in the future, offer new Services and/or features through the website (including the release of new tools and resources). Such new features and/or Services shall also be subject to these Terms of Service.

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.


SECTION 25 - TERMINATION

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
